(e) you accept full responsibility for your use of the Products and any consequences arising from that use.
3.4 We reserve the right to refuse, cancel, or limit any Order at our discretion, including where we have reasonable grounds to believe the Products may be misused or that the buyer has misrepresented their identity or intended use.
3.5 Before accepting or supplying an Order, we may ask you to provide reasonable documentation supporting your identity, your intended research use, or your entitlement to receive the Products. We may hold or decline an Order until that information is provided to our satisfaction.
4. Your rights under the ACL
4.1 Our Products come with consumer guarantees that cannot be excluded under the ACL.
4.2 You are entitled to a replacement or refund for a major failure and to compensation for any other reasonably foreseeable loss or damage.
4.3 You are entitled to have a Product repaired or replaced if it fails to be of acceptable quality and the failure does not amount to a major failure.
4.4 A “major failure” includes where the Product is significantly different from its description or sample, where it is unsafe, where it is substantially unfit for its ordinary purpose and cannot easily be made fit, or where you would not have purchased it had you known of the failure.
4.5 Our Refund Policy at /refund explains how to make a claim under these guarantees.
5. Orders, pricing, and payment
5.1 All prices are displayed in Australian Dollars (AUD) and are inclusive of GST where applicable.
5.2 Prices are subject to change without notice. The price applicable to your Order is the price displayed at the time you complete your purchase.
5.3 An Order is an offer by you to purchase. We accept your Order only when we send you an Order confirmation email. Until that point, we may decline the Order without liability.
5.4 We may decline an Order for reasons including but not limited to: a Product being out of stock, a pricing error, a payment authorisation failure, suspected fraud, or a reasonable belief that the Products may be misused.
5.5 Payment is processed at the time of Order via our payment provider, Stripe. By submitting payment details, you authorise us to charge the total Order amount to your nominated payment method.
5.6 We do not store full payment card details. Card processing is handled by Stripe under PCI-DSS Level 1 compliance.
5.7 If a payment is declined, reversed, or charged back without our agreement, we may suspend or cancel the Order and recover any reasonable costs.
6. Promotional codes and discounts
6.1 We may offer promotional codes from time to time.
6.2 Promotional codes are valid only as described at the time of issue, may be limited to one use per customer, and cannot be combined with other offers unless we expressly say so.
6.3 We may withdraw, modify, or invalidate a promotional code at any time without notice if we reasonably believe it has been misused or if a technical error has occurred.
7. Shipping and delivery
Our Shipping Policy at /shipping sets out shipping methods, costs, transit times, and our handling of Australian delivery. Those terms form part of these Terms.
8. Returns, refunds, and our purity guarantee
8.1 Our Refund Policy at /refund sets out when you can return a Product, how refunds are processed, and the full mechanics of our purity guarantee.
8.2 Our purity guarantee is a contractual commitment, not a marketing claim. The terms in the Refund Policy define exactly what we promise and how to claim.
9. Intellectual property
9.1 All content on the Site — including text, images, logos, product descriptions, research guides, photography, and design — is owned by Southern Pacific Labs or our licensors and is protected by Australian and international copyright and trade mark law.
9.2 You may view, download, and print content for personal, non-commercial reference only.
9.3 You may not reproduce, republish, distribute, modify, or commercially exploit any content without our prior written consent.
9.4 The “Southern Pacific Labs” name, the “Southernpacific.Labs” and “Southern.Labs” wordmarks, the orange-square brand mark, and our visual brand identity are unregistered trade marks of Southern Labs AU Pty Ltd. Product supplied in packaging bearing the earlier “Southern.Labs” wordmark is genuine Southern Pacific Labs product — that stock is being run out under the earlier mark.
10. Acceptable use of the Site
10.1 You may not use the Site to: violate any law; infringe our or any third party’s rights; transmit malicious code; attempt to gain unauthorised access to our systems; scrape or copy content for a competing service; or impersonate another person.
10.2 We may suspend or terminate your access to the Site if we reasonably believe you have breached these Terms or our Acceptable Use Policy.
11. Limitation of liability
11.1 To the maximum extent permitted by law, our total aggregate liability to you for any claim arising from your purchase of a Product or use of the Site is limited to the amount you paid us for the Product giving rise to the claim.
11.2 To the maximum extent permitted by law, we exclude all liability for indirect, consequential, incidental, special, or punitive loss or damage, including loss of profits, loss of data, loss of business opportunity, loss of goodwill, or pure economic loss.
11.3 Nothing in this clause 11 limits or excludes liability that cannot be limited or excluded under the ACL or any other applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
12. Indemnity
You indemnify and hold harmless Southern Labs AU Pty Ltd, its directors, officers, employees, and agents from and against any claim, loss, cost, damage, or expense (including reasonable legal costs) arising from or in connection with: (a) your misuse of any Product; (b) your breach of these Terms or our Acceptable Use Policy; (c) your violation of any law or third-party right; or (d) any inaccurate or misleading representation you make to us in connection with an Order.
13. Force majeure
We are not liable for any failure or delay in performing our obligations where the failure or delay is caused by events beyond our reasonable control, including natural disasters, acts of government, public health emergencies, supply chain disruption, carrier failures, or telecommunications outages. We will notify you as soon as reasonably practicable if a force majeure event affects your Order.
14. Notices
14.1 Any notice from us to you may be sent by email to the address you provided when placing your Order, or by posting on the Site.
14.2 Any notice from you to us must be sent by email to info@southernpacificlabs.com.au.
14.3 Notices are deemed received: by email, on the date sent (provided no failure notification is received); by post on the Site, on the date posted.
15. Assignment
15.1 You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
15.2 We may assign or transfer our rights and obligations under these Terms to a related entity or to a purchaser of our business, on notice to you.
16. Governing law and disputes
16.1 These Terms are governed by the laws of New South Wales, Australia.
16.2 You and we submit to the exclusive jurisdiction of the courts of New South Wales for any dispute arising from these Terms.
16.3 Before commencing any legal proceeding, both parties agree to attempt good-faith resolution by writing to info@southernpacificlabs.com.au and allowing 21 days for a response.
16.4 Nothing in this clause prevents either party seeking urgent injunctive or equitable relief from a court of competent jurisdiction.
17. Severability, waiver, and survival
17.1 If any provision of these Terms is found to be unenforceable, that provision is severed and the remaining provisions continue in full force.
17.2 No failure or delay by us in exercising a right under these Terms operates as a waiver of that right.
17.3 Clauses 9 (IP), 11 (Liability), 12 (Indemnity), 14 (Notices), 16 (Governing law), and 17 (this clause) survive termination.
18. Entire agreement
These Terms, together with our Privacy Policy, Refund Policy, Shipping Policy, and Acceptable Use Policy, form the complete agreement between you and us regarding your purchase of Products from Southern Pacific Labs and supersede any prior representations or agreements.
